INTRODUCTION<\/strong><\/h4>\n<p><span id=\"page3R_mcid1\" class=\"markedContent\"><span dir=\"ltr\" role=\"presentation\">In<\/span> <span dir=\"ltr\" role=\"presentation\">international<\/span> <span dir=\"ltr\" role=\"presentation\">trade,<\/span> <span dir=\"ltr\" role=\"presentation\">offering<\/span> <span dir=\"ltr\" role=\"presentation\">extended<\/span> <span dir=\"ltr\" role=\"presentation\">payment <\/span><span dir=\"ltr\" role=\"presentation\">terms can be extremely attractive to new foreign <\/span><span dir=\"ltr\" role=\"presentation\">buyers and ultimately lead to<\/span> <span dir=\"ltr\" role=\"presentation\">winning<\/span> <span dir=\"ltr\" role=\"presentation\">more export <\/span><span dir=\"ltr\" role=\"presentation\">sales. However, in order to offer such benefits, a <\/span><span dir=\"ltr\" role=\"presentation\">seller needs to check the foreign buyer&#8217;s credit which <\/span><span dir=\"ltr\" role=\"presentation\">is not always easy to find. If the seller is unable to <\/span><span dir=\"ltr\" role=\"presentation\">obtain reliable credit information, the L\/C<\/span> <span dir=\"ltr\" role=\"presentation\">may<\/span> <span dir=\"ltr\" role=\"presentation\">be <\/span><span dir=\"ltr\" role=\"presentation\">available<\/span> <span dir=\"ltr\" role=\"presentation\">to<\/span> <span dir=\"ltr\" role=\"presentation\">the<\/span> <span dir=\"ltr\" role=\"presentation\">exporter<\/span> <span dir=\"ltr\" role=\"presentation\">as<\/span> <span dir=\"ltr\" role=\"presentation\">a<\/span> <span dir=\"ltr\" role=\"presentation\">trade <\/span><span dir=\"ltr\" role=\"presentation\">financing <\/span><span dir=\"ltr\" role=\"presentation\">instrument.<\/span><\/span><\/p>\n<p><span id=\"page3R_mcid2\" class=\"markedContent\"><span dir=\"ltr\" role=\"presentation\">A<\/span><span dir=\"ltr\" role=\"presentation\">n<\/span> <span dir=\"ltr\" role=\"presentation\">L\/C<\/span> <span dir=\"ltr\" role=\"presentation\">is basically an undertaking by a bank to make <\/span><span dir=\"ltr\" role=\"presentation\">payment to a beneficiary (usually the seller) within a <\/span><span dir=\"ltr\" role=\"presentation\">specified time, against the presentation of documents <\/span><span dir=\"ltr\" role=\"presentation\">which<\/span> <span dir=\"ltr\" role=\"presentation\">must be<\/span> <span dir=\"ltr\" role=\"presentation\">strictly in compliance with the terms of <\/span><span dir=\"ltr\" role=\"presentation\">the<\/span> <span dir=\"ltr\" role=\"presentation\">L\/C<\/span><span dir=\"ltr\" role=\"presentation\">.<\/span> <span dir=\"ltr\" role=\"presentation\">L\/Cs are very popular in <\/span><span dir=\"ltr\" role=\"presentation\">international<\/span> <span dir=\"ltr\" role=\"presentation\">trade <\/span><span dir=\"ltr\" role=\"presentation\">and<\/span> <span dir=\"ltr\" role=\"presentation\">describe<\/span><span dir=\"ltr\" role=\"presentation\">d<\/span> <span dir=\"ltr\" role=\"presentation\">as<\/span> <span dir=\"ltr\" role=\"presentation\">\u201cthe<\/span> <span dir=\"ltr\" role=\"presentation\">life<\/span> <span dir=\"ltr\" role=\"presentation\">blood<\/span> <span dir=\"ltr\" role=\"presentation\">of<\/span> <span dir=\"ltr\" role=\"presentation\">international <\/span><span dir=\"ltr\" role=\"presentation\">commerce\u201d<\/span><span dir=\"ltr\" role=\"presentation\">.<\/span><\/span><\/p>\n<p><span id=\"page3R_mcid3\" class=\"markedContent\"><span dir=\"ltr\" role=\"presentation\">This fact<\/span><span dir=\"ltr\" role=\"presentation\">sheet highlights the remedies available to a <\/span><span dir=\"ltr\" role=\"presentation\">seller<\/span> <span dir=\"ltr\" role=\"presentation\">u<\/span><span dir=\"ltr\" role=\"presentation\">nder the<\/span> <span dir=\"ltr\" role=\"presentation\">United Nations Convention on Con<\/span><span dir=\"ltr\" role=\"presentation\">tracts for the International Sale of Goods<\/span><span dir=\"ltr\" role=\"presentation\">, Vienna <\/span><span dir=\"ltr\" role=\"presentation\">1980<\/span> <span dir=\"ltr\" role=\"presentation\">(<\/span><span dir=\"ltr\" role=\"presentation\">CISG<\/span><span dir=\"ltr\" role=\"presentation\">)<\/span> <span dir=\"ltr\" role=\"presentation\">if a buyer fails to open a<\/span><span dir=\"ltr\" role=\"presentation\">n<\/span> <span dir=\"ltr\" role=\"presentation\">L\/C<\/span><span dir=\"ltr\" role=\"presentation\">.<br \/><\/span><\/span>\u00a0<\/p>\n<h4>II. <span dir=\"ltr\" role=\"presentation\">WHEN DOES THE<\/span> <span dir=\"ltr\" role=\"presentation\">CISG<\/span> <span dir=\"ltr\" role=\"presentation\">APPLY?<\/span><\/h4>\n<p><span dir=\"ltr\" role=\"presentation\">The<\/span> <span dir=\"ltr\" role=\"presentation\">CISG<\/span> <span dir=\"ltr\" role=\"presentation\">is arguably the most widely accepted legal <\/span><span dir=\"ltr\" role=\"presentation\">framework for international sale<\/span><span dir=\"ltr\" role=\"presentation\">s<\/span> <span dir=\"ltr\" role=\"presentation\">contracts. With har<\/span><span dir=\"ltr\" role=\"presentation\">moni<\/span><span dir=\"ltr\" role=\"presentation\">z<\/span><span dir=\"ltr\" role=\"presentation\">ation as its central aim, the CISG offers a set of <\/span><span dir=\"ltr\" role=\"presentation\">uniform rules that govern cross<\/span><span dir=\"ltr\" role=\"presentation\">&#8211;<\/span><span dir=\"ltr\" role=\"presentation\">border sales, en<\/span><span dir=\"ltr\" role=\"presentation\">hancing predictability and reducing legal barriers in<\/span><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">international commerce<\/span> <span dir=\"ltr\" role=\"presentation\">and, as a result, reducing <\/span><span dir=\"ltr\" role=\"presentation\">transaction costs.<\/span><\/p>\n<p><span dir=\"ltr\" role=\"presentation\">Whether a sales contract is subject to the CISG is decided according to Article 1 CISG. First of all, the parties\u2019 places of business must be in different states. If both are in contracting states, the contract is subject to the CISG (Article 1(1)(a) CISG).<\/span><\/p>\n<p><span dir=\"ltr\" role=\"presentation\">According to Article 1(1)(b) CISG, the CISG also applies to contracts for the sale of goods between parties not domiciled in\u00a0 contracting states if the rules of private international law lead to the application of the law of a contracting state.<\/span><\/p>\n<p><span dir=\"ltr\" role=\"presentation\">However, according to Article 6 CISG, the principle of freedom of contract applies. The parties are therefore free to choose the applicable law. If they do so, the applicable law must be determined according to their choice.<\/span><\/p>\n<p><span dir=\"ltr\" role=\"presentation\">If the parties have chosen a law (e.g. Swiss law) without mentioning the CISG, then the question arises as to whether the CISG applies because such clauses do not expressly state whether they exclude the CISG.<\/span><\/p>\n<p><span dir=\"ltr\" role=\"presentation\">The prevailing doctrine and case law agrees that the choice of the law of a contracting state is presumably not an implicit exclusion of the CISG as the CISG is part of each contracting state\u2019s national law. Rather, it is clear from the parties&#8217; choice of law that the\u00a0 CISG applies, but for any potential gap in the CISG, the chosen national law is used to fill the gap. The assumption of an implicit exclusion of the CISG would require further indications in the contract.<\/span><\/p>\n<p><span dir=\"ltr\" role=\"presentation\">In cases where the CISG applies, it takes precedence over ordinary national law (e.g. Swiss Code of Obligations).<\/span><\/p>\n<p><span dir=\"ltr\" role=\"presentation\">In general, Swiss law excluding the CISG is not necessarily more advantageous to a contracting party than the CISG, but the parties should be clear about what they are agreeing to by excluding or not excluding the application of the CISG.<\/span>\u00a0<\/p>\n<h4>\u00a0<\/h4>\n<h4>III. <span dir=\"ltr\" role=\"presentation\">REMEDIES FOR BREACH OF A PARTY\u2019S <\/span><span dir=\"ltr\" role=\"presentation\">DUTY TO OPEN A<\/span><span dir=\"ltr\" role=\"presentation\">N<\/span> <span dir=\"ltr\" role=\"presentation\">L\/C<\/span><\/h4>\n<p><span dir=\"ltr\" role=\"presentation\">The CISG offers an effective legal framework for the <\/span><span dir=\"ltr\" role=\"presentation\">enforcement of a buyer\u2019s obligation to have a bank <\/span><span dir=\"ltr\" role=\"presentation\">open an L\/C under a contract for the international <\/span><span dir=\"ltr\" role=\"presentation\">sale of goods.<\/span><\/p>\n<p><span dir=\"ltr\" role=\"presentation\">According to Article 53 CISG, the buyer must pay the price for the goods and take delivery of them as required by the contract and the CISG. The provisions regarding payment of price can be found in Article 54 et seq. CISG.<\/span><\/p>\n<p><span dir=\"ltr\" role=\"presentation\">Regarding the time of payment, Article 58 CISG is decisive. If the buyer is not bound to pay the price at any other specific time, the buyer must pay it when the seller places either the goods or documents controlling their disposition at the buyer\u2019s disposal (Article 58(1) CISG).<\/span><\/p>\n<p><span dir=\"ltr\" role=\"presentation\">As Article 59 CISG expressly states, the buyer must pay the price on the date fixed or determinable from the contract without the need for any request or compliance with any formality on the part of the seller.<\/span><\/p>\n<p><span dir=\"ltr\" role=\"presentation\">The buyer will, therefore, be in breach of its obligation to pay the price without any notice needed from the seller.<\/span><\/p>\n<p><span dir=\"ltr\" role=\"presentation\">In case the buyer does not open an L\/C in due time, the buyer is in breach of its obligation to pay the price and the seller is entitled to the remedies according to Articles 61 et seq. CISG. These remedies include (i) a claim for specific performance, (ii) avoidance (termination) of the contract of sale and (iii) damages.<\/span><\/p>\n<p><span dir=\"ltr\" role=\"presentation\"><strong><span id=\"page32R_mcid2\" class=\"markedContent\">Request specific performance of an obligation to open an L\/C<\/span><\/strong><\/span><\/p>\n<p><span style=\"font-size: 14px;\">Under the CISG, a party has the right to require the other party to perform its obligations, unless the requesting party has chosen another remedy that is incompatible with specific performance (e.g., avoidance of the sales contract). Possible breaches giving<\/span><\/p>\n<p><span dir=\"ltr\" role=\"presentation\"><span id=\"page32R_mcid3\" class=\"markedContent\">rise to the remedy of avoidance include non-payment of the price and other obligations assumed under the contract, such as the opening of an L\/C by the buyer. If the terms of an L\/C differ from the agreed specifications, the seller may require the buyer to have a bank amend the nonconforming terms or issue a substitute L\/C.<\/span><\/span><\/p>\n<p><span dir=\"ltr\" role=\"presentation\"><span class=\"markedContent\">The buyer may be released from its obligation to open an L\/C if there is an impediment beyond the control of the buyer or the bank and which was not foreseeable and unavoidable for either the buyer or the bank (force majeur \/ hardship).<\/span><\/span><\/p>\n<p><strong><span id=\"page32R_mcid5\" class=\"markedContent\"><span dir=\"ltr\" role=\"presentation\">Fixing an additional period of time to open a<\/span><span dir=\"ltr\" role=\"presentation\">n <\/span><span dir=\"ltr\" role=\"presentation\">L\/C<\/span><\/span><\/strong><\/p>\n<p><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">T<\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">he seller may, pursuant to Article 63(1) CISG, set <\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">the buyer an additional period of time for the perfor<\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">mance of<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">its<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">obligations.<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">This provision also applies <\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">in the case of a contractual obligation to<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">open<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">a con<\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">forming<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">L\/C<\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">.<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">If<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">a conforming<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">L\/C is not op<\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">ened<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">within <\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">the additional period set by the seller<\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">, the se<\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">ller<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">is<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">en<\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">title<\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">d<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">to declare the contract avoided under Article <\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">64(1)(b) CISG.<\/span><\/p>\n<div class=\"page\" role=\"region\" data-page-number=\"2\" aria-label=\"Page 2\" data-loaded=\"true\">\n<div class=\"textLayer\"><span id=\"page32R_mcid7\" class=\"markedContent\"><span dir=\"ltr\" role=\"presentation\">T<\/span><span dir=\"ltr\" role=\"presentation\">he grace period<\/span> <span dir=\"ltr\" role=\"presentation\">set<\/span> <span dir=\"ltr\" role=\"presentation\">for<\/span> <span dir=\"ltr\" role=\"presentation\">the buyer<\/span> <span dir=\"ltr\" role=\"presentation\">to issue a new<\/span> <span dir=\"ltr\" role=\"presentation\">L\/C <\/span><span dir=\"ltr\" role=\"presentation\">must be of reasonable length, depending on the cir<\/span><span dir=\"ltr\" role=\"presentation\">cumstances<\/span> <span dir=\"ltr\" role=\"presentation\">of the specific case<\/span> <span dir=\"ltr\" role=\"presentation\">taking<\/span> <span dir=\"ltr\" role=\"presentation\">into account <\/span><span dir=\"ltr\" role=\"presentation\">the banking practices<\/span> <span dir=\"ltr\" role=\"presentation\">at<\/span> <span dir=\"ltr\" role=\"presentation\">the buyer&#8217;s domicile, national <\/span><span dir=\"ltr\" role=\"presentation\">holiday, the nature of the agreed<\/span> <span dir=\"ltr\" role=\"presentation\">L\/C<\/span> <span dir=\"ltr\" role=\"presentation\">and<\/span> <span dir=\"ltr\" role=\"presentation\">the<\/span> <span dir=\"ltr\" role=\"presentation\">pay<\/span><span dir=\"ltr\" role=\"presentation\">ment structure<\/span> <span dir=\"ltr\" role=\"presentation\">(<\/span><span dir=\"ltr\" role=\"presentation\">unconfirmed or confirmed<\/span> <span dir=\"ltr\" role=\"presentation\">L\/C<\/span><span dir=\"ltr\" role=\"presentation\">)<\/span><span dir=\"ltr\" role=\"presentation\">.<\/span> <span dir=\"ltr\" role=\"presentation\">T<\/span><span dir=\"ltr\" role=\"presentation\">he <\/span><span dir=\"ltr\" role=\"presentation\">issuance of a confirmed<\/span> <span dir=\"ltr\" role=\"presentation\">L\/C<\/span> <span dir=\"ltr\" role=\"presentation\">may require a longer ad<\/span><span dir=\"ltr\" role=\"presentation\">ditional period<\/span> <span dir=\"ltr\" role=\"presentation\">of time<\/span> <span dir=\"ltr\" role=\"presentation\">than an unconfirmed<\/span> <span dir=\"ltr\" role=\"presentation\">L\/C<\/span> <span dir=\"ltr\" role=\"presentation\">(<\/span><span dir=\"ltr\" role=\"presentation\">con<\/span><span dir=\"ltr\" role=\"presentation\">firming bank at the seller&#8217;s place of business<\/span> <span dir=\"ltr\" role=\"presentation\">involved <\/span><span dir=\"ltr\" role=\"presentation\">and approval from the issuing bank required<\/span><span dir=\"ltr\" role=\"presentation\">)<\/span><span dir=\"ltr\" role=\"presentation\">.<\/span><\/span><\/div>\n<div class=\"textLayer\"><span class=\"markedContent\"><span dir=\"ltr\" role=\"presentation\">\u00a0<\/span><\/span><\/div>\n<div class=\"textLayer\"><strong><span id=\"page32R_mcid8\" class=\"markedContent\"><span dir=\"ltr\" role=\"presentation\">Avoidance of the<\/span> <span dir=\"ltr\" role=\"presentation\">sales<\/span> <span dir=\"ltr\" role=\"presentation\">c<\/span><span dir=\"ltr\" role=\"presentation\">ontract<br \/><\/span><\/span><\/strong><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\"><br \/>Under Article 64(1)<\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">(a)<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">CISG, the seller may declare <\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">the<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">sales<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">contract avoided if the buyer&#8217;s failure to per<\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">form an obligation\u00a0 constitutes a fundamental breach. <\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">Under Article 25 CISG, a breach is fundamental if it <\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">results in such a detriment to the suffering party that <\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">it is substantially deprived of what it was enti<\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">tled to <\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">expect under the contract and this result was or ought <\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">to have been foreseeable by the breaching party. This may be the case, for example, if the <\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">CISG contract provides that the seller has an imme<\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">diate right to terminate the contract if the buyer fails <\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">to open the agreed<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">L\/C<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">in time.<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">The<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">nature of the con<\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">tract<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">also<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">may make the timely opening of a<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">workable <\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">L\/C<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">an essential<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">element<\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">. For example, if the<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">L\/C<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">is <\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">linked to the seller&#8217;s obligation t<\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">o load the goods onto <\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">the ship, its proper and timely opening is<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">essential, <\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">and the seller is entitled to avoid the contract for a <\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">minor delay or mistake in the<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">L\/C<\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">.<\/span><\/span><\/span><\/div>\n<div class=\"textLayer\">\n<p><span class=\"markedContent\"><span dir=\"ltr\" role=\"presentation\"><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\"><br \/><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">A<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">fundamental breach of contract exists<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">in any case <\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">if the buyer definitively refuses to open the<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">agreed <\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">L\/C<\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">.<\/span><\/span><\/span><\/span><\/p>\n<p><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">If an L\/C was<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">opened on time<\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">, but not in accordance <\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">with the<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">sales<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">contract in other respects<\/span> <span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">(e.g., the L\/C <\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">does not provide for\u00a0 certain conditions agreed in the <\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">sales contract and the buyer refuses to have the L\/C <\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">amended accordingly)<\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">, this may also constitute a fun<\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">damental breach of contract<\/span><span dir=\"ltr\" style=\"font-size: 14px;\" role=\"presentation\">.<\/span><\/p>\n<\/div>\n<div class=\"textLayer\">\n<div class=\"endOfContent\">\u00a0<\/div>\n<\/div>\n<div class=\"textLayer\">\n<p><span class=\"markedContent\"><span dir=\"ltr\" role=\"presentation\"><strong><span id=\"page34R_mcid0\" class=\"markedContent\">Damages<\/span><\/strong><\/span><\/span><\/p>\n<p>In general, if a buyer fails to perform any of its obligations under the contract or the CISG, the seller may claim damages. The breach does not have to be \u201cfundamental\u201d within the meaning of Article 25 CISG. The breach of any obligation by one of the parties, including the obligation to open an L\/C, entitles the other party to claim damages which, according to the principle of full\u00a0 compensation, correspond to the financial loss suffered by the other party as a result of the breach. The recoverable damages include damages for non-performance, incidental and consequential damages resulting from the breach of the obligation to open an L\/C.\u00a0 For example, if the delivery of the goods is dependent on the issuance of an L\/C by the buyer&#8217;s bank, the seller can claim as damages any additional storage costs resulting from a delay in delivery of the goods because the buyer did not open the L\/C in time.<\/p>\n<\/div>\n<div class=\"textLayer\">\n<p>\u00a0<span style=\"font-size: 14px;\">\u00a0<\/span><\/p>\n<\/div>\n<div class=\"textLayer\">\u00a0<\/div>\n<\/div>\n<h4>IV. RIGHT TO SUSPEND PERFORMANCE<\/h4>\n<p><span id=\"page34R_mcid3\" class=\"markedContent\"><span dir=\"ltr\" role=\"presentation\">Pursuant to Article 7<\/span><span dir=\"ltr\" role=\"presentation\">1(1)<\/span> <span dir=\"ltr\" role=\"presentation\">CISG, a party may suspend <\/span><span dir=\"ltr\" role=\"presentation\">the performance of its obligations if, after<\/span> <span dir=\"ltr\" role=\"presentation\">the<\/span> <span dir=\"ltr\" role=\"presentation\">conclu<\/span><span dir=\"ltr\" role=\"presentation\">sion of the sales contract, it becomes apparent that <\/span><span dir=\"ltr\" role=\"presentation\">the other party will not perform a substantial part of <\/span><span dir=\"ltr\" role=\"presentation\">its<\/span> <span dir=\"ltr\" role=\"presentation\">obligations<\/span><span dir=\"ltr\" role=\"presentation\">.<\/span><\/span><\/p>\n<p><span id=\"page34R_mcid4\" class=\"markedContent\"><span dir=\"ltr\" role=\"presentation\">It is generally accepted that the buyer&#8217;s failure to <\/span><span dir=\"ltr\" role=\"presentation\">open a<\/span><span dir=\"ltr\" role=\"presentation\">n<\/span> <span dir=\"ltr\" role=\"presentation\">L\/C<\/span> <span dir=\"ltr\" role=\"presentation\">in a timely manner is grounds for sus<\/span><span dir=\"ltr\" role=\"presentation\">pending the seller&#8217;s obligation to deliver the goods or <\/span><span dir=\"ltr\" role=\"presentation\">related documents.<\/span><\/span><\/p>\n<p><span id=\"page34R_mcid5\" class=\"markedContent\"><span dir=\"ltr\" role=\"presentation\">A party\u2019s failure must<\/span><span dir=\"ltr\" role=\"presentation\">, however,<\/span> <span dir=\"ltr\" role=\"presentation\">relate to a \u201csubstan<\/span><span dir=\"ltr\" role=\"presentation\">tial\u201d part of that party\u2019s obligations.<\/span> <span dir=\"ltr\" role=\"presentation\">What may be con<\/span><span dir=\"ltr\" role=\"presentation\">sidered a substantial part of a party\u2019s obligation has <\/span><span dir=\"ltr\" role=\"presentation\">to be determined on a case<\/span><span dir=\"ltr\" role=\"presentation\">&#8211;<\/span><span dir=\"ltr\" role=\"presentation\">by<\/span><span dir=\"ltr\" role=\"presentation\">&#8211;<\/span><span dir=\"ltr\" role=\"presentation\">case basis.<\/span> <span dir=\"ltr\" role=\"presentation\">For exam<\/span><span dir=\"ltr\" role=\"presentation\">ple, an ICC arbitration tribunal ruled that the suspen<\/span><span dir=\"ltr\" role=\"presentation\">sion of the claimant&#8217;s obligation to open a<\/span> <span dir=\"ltr\" role=\"presentation\">L\/C<\/span> <span dir=\"ltr\" role=\"presentation\">due to <\/span><span dir=\"ltr\" role=\"presentation\">the seller&#8217;s demand to increase the price of the last <\/span><span dir=\"ltr\" role=\"presentation\">orders by 10 or 15 percent was inadmissible because <\/span><span dir=\"ltr\" role=\"presentation\">it was \u201cexcessive and disproportionate\u201d.<\/span> <span dir=\"ltr\" role=\"presentation\">The<\/span> <span dir=\"ltr\" role=\"presentation\">arbitral <\/span><span dir=\"ltr\" role=\"presentation\">tribunal<\/span> <span dir=\"ltr\" role=\"presentation\">stated that the refusal to open a<\/span><span dir=\"ltr\" role=\"presentation\">n<\/span> <span dir=\"ltr\" role=\"presentation\">L\/C<\/span> <span dir=\"ltr\" role=\"presentation\">is <\/span><span dir=\"ltr\" role=\"presentation\">equivalent<\/span> <span dir=\"ltr\" role=\"presentation\">to a complete refusal to pay the purchase <\/span><span dir=\"ltr\" role=\"presentation\">price and that since the disagreement only related to <\/span><span dir=\"ltr\" role=\"presentation\">10 or 15 percent of the price, the buyer could have at <\/span><span dir=\"ltr\" role=\"presentation\">least advanced the undisputed amount.\u00a0<\/span><\/span><\/p>\n<p><span class=\"markedContent\"><span dir=\"ltr\" role=\"presentation\">The buyer is entitled to suspend its obligation to open an L\/C if the seller has already failed to perform a related counter-obligation set out in the contract (for example, the obligation to send a notice of shipment in a CISG contract subject to certain Incoterms, by<br role=\"presentation\" \/>which the seller notifies the buyer that the agreed goods are available for transportation).<\/span><\/span><\/p>\n<p>&nbsp;<\/p>\n<h4>V. SUMMARY<\/h4>\n<p><span dir=\"ltr\" role=\"presentation\">The CISG offers an effective legal framework for the <\/span><span dir=\"ltr\" role=\"presentation\">enforcement of a buyer\u2019s obligation to open a<\/span><span dir=\"ltr\" role=\"presentation\">n L\/C <\/span><span dir=\"ltr\" role=\"presentation\">under a contract for the international sale of goods.<\/span><br role=\"presentation\" \/><span dir=\"ltr\" role=\"presentation\">A<\/span> <span dir=\"ltr\" role=\"presentation\">buyer\u2019s failure to have the agreed<\/span> <span dir=\"ltr\" role=\"presentation\">L\/C opened by a <\/span><span dir=\"ltr\" role=\"presentation\">bank constitutes a breach of contract. Accordingly, <\/span><span dir=\"ltr\" role=\"presentation\">the seller may be entitled to some of the remedies <\/span><span dir=\"ltr\" role=\"presentation\">provided by the CISG. These remedies include a re<\/span><span dir=\"ltr\" role=\"presentation\">quest for specific performance, the avoidance of the <\/span><span dir=\"ltr\" role=\"presentation\">sales contract and damages. In most cases, failure to <\/span><span dir=\"ltr\" role=\"presentation\">open an L\/C in a workable form or in a timely manner <\/span><span dir=\"ltr\" role=\"presentation\">constitutes a fundamental breach of the sales con<\/span><span dir=\"ltr\" role=\"presentation\">tract and allows the seller to avoid the contract with<\/span><span dir=\"ltr\" role=\"presentation\">out granting the buyer a grace period.
